1. Definitions

The decentralized finance protocol, including all smart contracts, interfaces, and related software.
Protocol
Smart contracts deployed on supported blockchains that enable INDX functionality.
Interface
Any website, application, or software that provides means to interact with the Protocol.
User
Any individual or entity that accesses or uses the Service.
2. Intellectual Property Rights
Section titled “2. Intellectual Property Rights”2.1 Protocol and Interface Ownership
Section titled “2.1 Protocol and Interface Ownership”The INDX Protocol smart contracts, Interface code, and all associated intellectual property, including algorithms, formulas, methods, processes, architectures, indices, adapters, and other technical elements are proprietary to INDX and its licensors.
2.2 Smart Contract IP Protection
Section titled “2.2 Smart Contract IP Protection”The INDX Protocol smart contracts are protected works. While code may be visible on the blockchain, this visibility does not constitute a waiver of any rights or ownership.
2.3 Limited License
Section titled “2.3 Limited License”Subject to compliance with these Terms, INDX grants you a limited, non-exclusive, non-transferable license to access and use the Interface. This license does not include the right to:
- Copy, modify, or create derivative works
- Reverse engineer, decompile, or disassemble any aspect
- Build similar or competitive products or services
- Infringe on INDX’s intellectual property rights
- Manipulate markets or engage in market abuse
3. Use of the Service

You must be at least 18 years old to use the Service.
3.2 Prohibited Jurisdictions

Smart contracts may contain bugs, vulnerabilities, or issues that could lead to technical failures or loss of funds.
Blockchain Risk
Blockchain networks may experience congestion, forks, or technical issues affecting transactions.
Market Risk
Cryptocurrency markets are highly volatile with rapid price fluctuations potentially resulting in significant losses.
Liquidity Risk
Insufficient liquidity may affect trade execution or price feed accuracy.
Oracle Risk
Price feeds and external data sources may be inaccurate, manipulated, or fail entirely.
Regulatory Risk
Changes in laws or regulations may adversely affect the Service’s operation or legality.
4.2 No Investment Advice

Section titled “4.3 No Guarantees”INDX makes no guarantees regarding:
- Service performance or functionality
- Information accuracy
- Financial returns or outcomes
- Security or vulnerability protection
5. Disclaimers and Limitations of Liability

Section titled “5.1 No Protocol Guarantees”INDX does not guarantee that the Service will be:
- Uninterrupted or secure
- Error-free or defect-free
- Meeting your specific requirements
- Providing accurate or reliable results
5.2 Limitation of Liability

Excluded Damages: INDX shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use.
Liability Cap: Total liability shall not exceed the amount paid by you for accessing the Service during the twelve (12) months preceding the cause of action.
6. Index and Zap Features

Section titled “6.1 Index Creation and Management”When creating or interacting with indexes, you acknowledge:
- Indexes are subject to market risks and may lose value
- Index composition may change over time
- Fees may apply to various operations
- Performance depends on constituent tokens
6.2 Zap Features
Section titled “6.2 Zap Features”When using zap features, you acknowledge:
- Zaps involve multiple transactions subject to slippage
- Actual output may differ from estimates
- Gas costs may be higher than simple swaps
- Not available for all tokens or pools
7. Indemnification
Section titled “7. Indemnification”You agree to indemnify, defend, and hold harmless INDX from claims arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of third-party rights
- Any claim that your use caused damage to a third party
8. Governing Law and Dispute Resolution

Section titled “8.2 Dispute Resolution”Disputes shall be resolved through binding arbitration administered by the International Centre for Dispute Resolution (ICDR) under the ICDR International Arbitration Rules. Arbitration proceedings shall be conducted in Panama City, Panama, in the English language.
8.3 Class Action Waiver
Section titled “8.3 Class Action Waiver”Individual Claims Only
All claims must be brought individually, not as part of any class, collective, or representative proceeding.
9. Modifications to Terms
Section titled “9. Modifications to Terms”INDX reserves the right to modify these Terms at any time. Changes will be communicated by:
- Updating the date at the top of these Terms
- Adding statements to our website
- Sending notifications (when applicable)
10. Privacy and Data
Section titled “10. Privacy and Data”10.1 Data Collection Practices
Section titled “10.1 Data Collection Practices”INDX operates as a decentralized protocol with minimal data collection:
On-Chain Data:
- All transactions and protocol interactions are recorded on public blockchains
- We may aggregate publicly available blockchain data for analytics and reporting
- Wallet addresses and transaction history remain publicly viewable on-chain
Off-Chain Data:
- Basic website analytics (page views, usage patterns)
- Technical information (browser type, device information) for service optimization
- No personal identification information is collected or stored
What We Don’t Collect:
- Names, email addresses, or personal identification
- Financial information beyond public blockchain data
- Location data beyond general geographic regions for compliance
- Private keys or wallet access credentials
10.2 Data Usage
Section titled “10.2 Data Usage”Data collected is used solely for:
- Service operation and improvement
- Transaction processing and reporting
- Legal compliance and security
- Protocol analytics and optimization
10.3 Data Sharing
Section titled “10.3 Data Sharing”We do not sell, rent, or share personal data with third parties, except:
- As required by law or legal process
- To protect our rights or the rights of others
- With service providers necessary for protocol operation
11. Miscellaneous

Section titled “11.1 Entire Agreement”These Terms constitute the entire agreement between you and INDX regarding the Service.
11.2 Severability
Section titled “11.2 Severability”If any provision is unenforceable, it will be limited to the minimum extent necessary while keeping other Terms in effect.
11.3 Assignment
Section titled “11.3 Assignment”- You may not assign these Terms without prior written consent
- INDX may freely assign these Terms
11.4 Force Majeure
Section titled “11.4 Force Majeure”INDX shall not be liable for delays due to circumstances beyond reasonable control, including natural disasters, war, network failures, or other uncontrollable events.
